He is sought-after by boards and C-suite executives for his expertise in commercial corporate law, ESG and corporate governance, complex financing transactions, and shareholder activism at Fortune 200 as well as mid-market cap businesses.
A well-known expert in corporate governance, Arden has advised boards of directors throughout his career and has deep and trusted relationships with institutional shareholders, proxy advisors, regulators and other critical governance/ESG stakeholders. As in-house counsel, he has advised boards and board committees on several matters, including: risk oversight; fiduciary duties; board succession; executive compensation; SEC financial reporting and disclosure; and shareholder activism.
Arden is also a respected board advisor with expertise in implementing effective corporate governance systems and communicating key messaging to shareholders and other stakeholders through coordinated disclosure in company proxy materials and SEC periodic reports.
Arden is past chair of the Association of Corporate Counsel’s (ACC) prestigious Corporate and Securities Law Committee and a former national board member of the Society for Corporate Governance. He has served on the board of several non-profit organizations, including Hope Connections for Cancer Support, H Street Main Street, Inc., and the DC chapter of the Special Olympics.
Arden has a B.A. in Economics from Columbia University and a J.D. from the Duke University School of Law. He enjoys biking, sci-fi movies, and traveling with his wife and two children.
